SELLER TERMS AND CONDITIONS
Introduction
Wayg Limited (Wayg, “we”, “us” or “our”) operates an e-commerce marketplace consisting of a website (“platform”) for the sale and purchase of store vouchers in Nigeria (“territory”).
These seller terms and conditions shall apply to all sellers on the platform, together with our general terms and conditions of the use of the platform for buyers and sellers.
By becoming a seller on Wayg, You accept these seller terms and conditions, the general terms and conditions of use of the platform for buyers and sellers and privacy policy. These terms and policies may be amended by Wayg from time to time without prior notice which form an integral part of the terms upon which you may use the platform.
Waygshops
To become a seller on Wayg, you simply need to create a shop
("Waygshop") on the platform. Your Waygshop must be
associated with a business that operates outside the platform
and it serves as an outlet for you to sell vouchers that are
valid for this affiliated business.
You are solely responsible for your shop and you shall obtain any licences required for the products and services redeemable by the vouchers purchased from your shop. You are also responsible for registering with the relevant tax authorities and paying relevant taxes in relation to your sales.
Your shop will be subject to review and verification and Wayg reserves the right to limit the operations in your shop or completely suspend operations on your shop until such review and verification is complete.
You shall conduct your business on the platform with skill and care, by cooperating and acting in good faith toward Wayg and the buyers. You shall comply with all applicable laws and regulations in force from time to time, including but not limited to:
- All laws, statutes, regulations, and other enactments of the territory
- The U.S. Foreign Corrupt Practices Act
- The U.K. Bribery Act
- All other anti-bribery and corruption, anti-money laundering and anti-terrorism laws; and
- Any trade or export sanctions or restrictions imposed by the United States, the United Kingdom, the European Union and/or the United Nations.
By creating a Waygshop, you explicitly acknowledge that
eligible Waygcards can be used to redeem (whether online or
offline) goods and services offered by the business affiliated
with the Waygshop. Failure to accept eligible Waygcards as a
valid means of payment may be interpreted as a breach of
contract, potentially leading to termination and other actions
at Wayg's discretion.
Without prejudice to our other rights, we reserve the right to suspend temporarily or permanently, delete any Waygshop that breaches these seller terms and conditions, the general terms and conditions, privacy policy or any other Wayg policies and guidelines.
Waygcards
Waygcards are vouchers that would be purchased from your Waygshop. These vouchers are 16-character codes that are assigned a value and featured on a card. These cards could be digital or physical. Vouchers purchased from your Waygshop are valid only on the affiliated business and they can be used to redeem products and services worth the assigned value from the affiliated business.
Business and Identity Verification
Upon the establishment of a Waygshop, you acknowledge your participation in our review and verification procedure. Wayg retains the authority to restrict or temporarily suspend any activities conducted on or by your shop until the comprehensive review and verification process is finalised. During this verification phase, we may request the submission of documents, including but not limited to:
- Your identification
- Business registration records for the affiliated business
- Accurate business addresses
- Verified business phone numbers
- Verified email addresses
- Valid bank account details; and
- Any additional documentation necessary to validate your authorization to associate and sell Waygcards for the specified business on our platform.
Upon successful verification, the Waygshop will be adorned
with a verified badge, signalling to buyers that the business
has undergone Wayg's scrutiny. This process aligns with our
terms, conditions, and policies.
Waygcard Redemption
Redemption is the procedure of swapping eligible vouchers for the goods and services offered by the business affiliated with your store. Wayg is committed to furnishing the requisite tools to facilitate this redemption process through our platform. By enrolling as a seller on Wayg, you consent to the exchange of eligible Waygcards for the goods and services available from your affiliated business.
Commission and Fees
As a seller, you acknowledge and agree that a commission will
be charged for each voucher redeemed in your shop. The
applicable fee will be determined as outlined on the [Pricing
page] of the website and can be computed using the provided
'little calculator' on the same page. The fee specified on our
Pricing page is an essential component of this Agreement.
We retain the right to adjust the fee, and in the event of such revisions, we commit to providing you with notification within 5 days of the change.
Remittances
We shall collect payments from buyers in respect to each voucher purchased from the platform, and for every redemption of the purchased voucher (either fully or partially) we shall deduct our commissions and, as may be applicable, any fees, charges, penalties, refunds, and any other amounts that you owe to us in respect of any business whatsoever.
We shall remit the proceeds of any redemption, after all, deductions as described above, and remit the remaining funds to you using such payment mechanism as we may notify you from time to time.
Evidence of payment to your nominated bank account shall constitute evidence of payment and receipt.
You are responsible for ensuring that the account details provided on your Waygshop are accurate and up to date and that the account is secure. We will not be liable for any loss or damage to you that may result from fraud or error in respect of your account.
We shall provide you with an account statement via the platform which shall include details of all proceeds of the sale and the redemption of your Waygcards, deductions and remittances.
Subject to the applicable laws of the territory, we may at any time set off any amount that you owe to us against any amount that we owe to you, by sending you written notice of the set-off. Set-off may apply across your Waygshops if you operate more than one Waygshop. For the avoidance of any doubt, the account statement in the platform shall serve as such notice of the set-off.
In the event that we hold insufficient funds on your behalf for payment of any amounts that you owe us (your shop is in debit), you shall pay the amounts you owe to us by such payment method as we may request.
We may delay or suspend payment to you in the event of an investigation of a potential fraud or other breaches of this agreement.
In the event that the seller disputes any transaction or statement of account, it must report its claim to Wayg within three (3) months of the date of the relevant transaction, failing which such claim shall be deemed to be waived.
Your Responsibilities
- You are responsible for your Waygshop, the information provided and displayed on the shops, and your relationship with your customers, not us.
- You agree that you are solely responsible for verifying the identities of your customers, ensuring that they are authorised to carry out the transactions on your shop and at physical retail locations, and determining their eligibility to purchase your products and services.
- You are also required to maintain information and proof of service or product delivery to your customer. Where a dispute occurs needing resolution, you may be required to provide Wayg with these.
- You represent and warrant that your shop, and the goods and services that can be redeemed through the Platform will be true, accurate, and complete, and will not violate any applicable laws, regulations, or rights of third parties.
- You bear exclusive responsibility for providing any goods or services redeemable through Waygcards and assume full liability for the quality of the delivered goods and rendered services.
- You may not use the Wayg Platform for any illegal or unauthorised purpose nor may you, in the use of the Platform, violate any laws (including but not limited to copyright laws), the laws applicable to you in your customer’s jurisdiction, or the laws of the Federal Republic of Nigeria.
Breaches of seller terms and conditions
If we reasonably determine that you have breached these seller terms and conditions, our general terms and conditions or any Wayg codes, policies and guidelines we may:
- Send you one or more formal warnings
- Suspend, prohibit, or block your access to our marketplace as provided in the general terms and conditions;
- Apply penalties for breach
- Commence legal action against you, whether for breach of contract or otherwise.
We may vary the amount of penalties for breach from time to time by updating the seller.
